These Terms of Service (“Terms”) govern your use of synect.tech and any AI automation services delivered by Synect Limited (“Synect”, “we”, “us”, “our”). By submitting an enquiry, booking a discovery call, or engaging our services, you agree to these Terms.

2. Our Services
Synect delivers AI automation projects for Irish SMEs, including:
- AI chat assistants for client support
- Admin workflow automation
- End-to-end process automation
- Custom AI tools and white-label solutions
Services are scoped and agreed individually through a discovery call and a written Statement of Work (“SOW”) or project proposal. These Terms apply to all enquiries, discovery calls, and project engagements unless a separate written agreement supersedes them.
3. Engagement Process
3.1 All projects begin with a free discovery call to understand your business needs.
3.2 Following the discovery call, we will provide a written proposal or SOW outlining the scope, deliverables, timeline, and price.
3.3 A project commences only when you have accepted the proposal or SOW in writing (email acceptance is sufficient) and the agreed deposit has been received.
3.4 Any changes to agreed scope must be requested in writing and may result in revised pricing and timelines.
4. Pricing and Payment
4.1 Our current pricing tiers are:

Prices are exclusive of VAT. VAT will be added at the applicable Irish rate where required.
4.2 Payment terms will be specified in your SOW. Standard terms are 50% deposit on project commencement and 50% on delivery, unless otherwise agreed in writing.
4.3 Invoices are payable within 14 days of issue unless otherwise stated in the SOW.
4.4 We reserve the right to pause or withhold delivery of work if invoices remain unpaid beyond their due date.
4.5 All payments are in Euro (€). Bank transfer details will be provided on invoice.
5. Delivery and Timelines
5.1 Estimated delivery timelines are stated in your SOW. Timelines are indicative and may be affected by the timely provision of information, access, and approvals by you.
5.2 You agree to provide reasonable cooperation, including timely responses to queries, provision of business information, and access to relevant systems, to enable delivery within the agreed timeline.
5.3 Delays caused by your failure to provide required information or approvals do not entitle you to a refund or price reduction.
6. AI-Powered Services — Important Disclosure
6.1 Synect delivers automation projects using AI models and tools, including those provided by our own platform (Synect.ai) and third-party AI providers including OpenAI, Anthropic, Google, and others.
6.2 By engaging our services, you acknowledge that:
- Deliverables are built using artificial intelligence tools
- Business information you share during scoping may be used to configure AI systems (e.g. knowledge bases, system prompts) that form part of your deliverable
- AI-generated outputs are reviewed by our team before delivery
- We do not use your business data to train third-party AI models
6.3 This disclosure is made in accordance with EU AI Act Article 50 (transparency obligations for AI systems).
6.4 AI automation tools we build for you may interact with your customers or staff. You are responsible for ensuring your own use of the delivered tools complies with applicable law, including the EU AI Act, GDPR, and any sector-specific regulations applicable to your business.
7. Your Responsibilities
You agree to:
- Provide accurate and complete information about your business processes and requirements
- Ensure you have the right to share any data, documents, or content you provide to us for use in your project
- Use delivered AI tools in compliance with applicable law
- Not use our deliverables for any unlawful, harmful, or deceptive purpose
- Maintain appropriate security practices for any AI tools or credentials we provide to you
8. Intellectual Property
8.1 All custom code, workflows, configurations, and deliverables created specifically for your project (“Deliverables”) become your property upon receipt of full payment.
8.2 Synect retains ownership of any pre-existing tools, frameworks, methodologies, templates, or platform components used in delivery (“Background IP”). We grant you a non-exclusive licence to use Background IP as incorporated in your Deliverables.
8.3 We may reference your project as a case study or portfolio item (without disclosing confidential business information) unless you request otherwise in writing.
9. Confidentiality
9.1 Both parties agree to keep confidential any non-public business information shared during the engagement and not to disclose it to third parties without prior written consent.
9.2 This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
10. Data Protection
10.1 Synect processes personal data in accordance with our Privacy Policy and applicable data protection law, including the GDPR.
10.2 Where we process personal data on your behalf in the course of delivering services, we act as a data processor and you act as the data controller. A Data Processing Addendum (DPA) is available on request at hello@synectgroup.com.
10.3 You are responsible for ensuring you have a lawful basis to share any personal data with us for use in your project.
11. Warranties and Disclaimers
11.1 We warrant that services will be delivered with reasonable skill and care.
11.2 We do not warrant that AI automation tools will be error-free, uninterrupted, or suitable for every purpose. AI outputs can be inaccurate or incomplete — human review of AI-generated content is recommended before use in critical business decisions.
11.3 Projected ROI figures (e.g. “15–25 hours/week saved”, “pays for itself within 60 days”) are illustrative estimates based on typical client outcomes and are not guarantees of specific results for your business.
11.4 Third-party services and platforms (e.g. CRM systems, email tools, databases) that we integrate with are outside our control. We are not liable for outages, changes, or failures of third-party platforms.
12. Limitation of Liability
12.1 To the maximum extent permitted by law, Synect's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Synect in the 12 months preceding the event giving rise to the claim.
12.2 We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or loss of business opportunity.
12.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.
13. Cancellation and Refunds
13.1 You may cancel a project before commencement for a full refund of any deposit paid.
13.2 If you cancel after project commencement, we will invoice for work completed to date. Any deposit paid will be applied against this amount; any shortfall is payable within 14 days.
13.3 If we are unable to deliver the agreed scope due to circumstances within our control, we will provide a full refund of amounts paid for undelivered work.
14. Termination
14.1 Either party may terminate a project engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
14.2 We may immediately suspend or terminate services if we reasonably believe you are using our deliverables for unlawful purposes.
15. Governing Law
These Terms are governed by the laws of Ireland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
16. Changes to These Terms
We may update these Terms from time to time. The current version will always be available at synect.tech/terms. For active project engagements, the Terms in effect at the time of your SOW acceptance apply.
17. Entire Agreement
These Terms, together with your accepted SOW or project proposal and our Privacy Policy, constitute the entire agreement between you and Synect Limited for the services described. They supersede all prior discussions, representations, or agreements on the subject matter.
